Our services address the financial reporting, independent assessment and shareholder-documentation requirements arising during listings, transactions and corporate actions. Explore our Capital Markets services below.

We perform reporting accountant and related assurance engagements for new listings, reverse takeovers, significant transactions and other corporate actions. Depending on the applicable requirements, this may include reports on historical financial information, pro forma financial information, profit forecasts or profit estimates.

We prepare independent fairness opinions where required under the JSE Listings Requirements or obtained voluntarily for publication to the market. Where a fair and reasonable opinion is required under the Companies Act, Takeover Regulations or another applicable framework, the engagement is structured to address the relevant requirements and the financial and qualitative factors affecting shareholders.

We provide financial workstream and process support for corporate actions undertaken by listed entities. Our support may include coordinating financial information, independent reports, valuations and adviser contributions for announcements, circulars and related transaction documents, while complementing rather than replacing the responsibilities of the issuer’s sponsor and legal advisers.

We assist listed entities and transaction parties with the financial content and coordination of shareholder circulars and related documents. Our work may include preparing prescribed financial sections, coordinating expert reports and adviser contributions, and checking consistency between the circular and supporting transaction information.
